What is a Demat Account?

Why Conversions Get Rejected or Delayed

Incomplete or Incorrect Documentation
Incomplete or Incorrect Documentation

Missing forms, unsigned DRFs, or incorrect details on the form lead to outright rejection by the DP or registrar, causing weeks of delay.

Mismatch in Shareholder Details
Mismatch in Shareholder Details

Discrepancies in name spelling, signature style, or address between the physical certificate and company records are the most common rejection cause.

Lost or Damaged Share Certificates
Lost or Damaged Share Certificates

Misplaced, damaged, or torn certificates require a separate duplicate share certificate process before dematerialisation can even begin.

Shares Already Transferred to IEPF
Shares Already Transferred to IEPF

If unclaimed dividends went unpaid for 7+ years, shares may have moved to the Government’s IEPF fund — requiring a separate recovery process first.

Our pre-submission review: Before filing any DRF, our team verifies all documents against company records, checks for discrepancies, and confirms share status — preventing rejections before they happen.

Documents Required for Dematerialisation

Having the right documents ready prevents rejections and delays. Our team reviews your complete document set before any DRF is submitted.

Original Physical Share Certificates — the actual paper certificates to be surrendered for dematerialisation

PAN Card — self-attested copy of the shareholder (must match company records exactly)

Demat Account Details — DP ID and Client ID where converted shares will be credited

Folio Number & Certificate Details — found on the face of the physical share certificate

Dematerialisation Request Form (DRF) — completed and signed, obtained from your Depository Participant

Aadhaar Card — for KYC completion at the DP level, self-attested copy

Cancelled Cheque — from the shareholder’s active bank account for record verification

Transmission Documents — death certificate and succession/legal heir documents (for deceased shareholder cases)

How Physical to Demat Conversion Works

The process is structured but requires precision at every step. Our team manages every touchpoint — from DRF preparation to final credit in your Demat account.

Step 1:

Open a Demat Account with a Registered DP

The process begins with opening a Demat account with a SEBI-registered Depository Participant (DP) such as a bank or broking firm. We guide you through KYC, signature matching, and account opening to avoid errors that cause rejections later.

Step 2:

Submit the Dematerialisation Request Form (DRF)

A DRF must be completed and submitted to your DP along with the original physical share certificates. We prepare and verify the DRF for you, ensuring all details match the company’s register exactly to prevent rejection.

Step 3:

Company Registrar Verification

Your DP forwards the DRF and physical certificates to the company registrar. The registrar verifies the certificates and confirms ownership. This stage is where delays typically occur — our team follows up proactively.

Step 4:

Approval and Electronic Conversion

Once the registrar approves, the physical share certificates are cancelled and an equivalent number of shares are credited to your Demat account in electronic form. This is the core conversion step.

Step 5:

Confirmation and Online Portfolio Management

You receive confirmation of the credit in your Demat account. From this point, your shares are fully electronic — you can sell, transfer, or pledge them at any time through your broker or trading platform.

We Handle the Complexity. You Get Your Shares in Demat.

The conversion process has multiple failure points. Our job is to make sure yours goes through right the first time — and we cover the entire journey.

    Frequently Asked Questions

No. As per SEBI’s mandate effective April 1, 2019, the transfer of physical share certificates is strictly prohibited — on stock exchanges as well as off-market. You cannot sell, transfer, or pledge physical shares until they are dematerialised into a Demat account. Transmission (transfer due to death) and transposition are the only permitted exceptions.

Name mismatches are one of the most common issues in physical-to-demat conversions. A mismatch between the name on the physical certificate, the company’s shareholder register, and your PAN card leads to rejection. We review all documents before submission, identify discrepancies, and handle the name correction process with the company registrar before proceeding with dematerialisation.

Yes, but a two-step process is needed. First, we apply for a duplicate share certificate on your behalf — this involves filing an indemnity bond, FIR copy, and surety bond with the company registrar. Once the duplicate certificate is issued, we proceed with the standard DRF-based dematerialisation. We handle both steps end-to-end.

Yes. A Demat account is mandatory to receive the shares after conversion — they are credited electronically. If you don’t have one, we can guide you on opening one quickly with any SEBI-registered Depository Participant (DP) such as a bank or broking firm.

A straightforward conversion typically takes 15–30 days from DRF submission to final demat credit, depending on the company registrar’s responsiveness. Cases involving name corrections, duplicate certificates, or IEPF recovery take longer. Our team follows up at every stage to minimise delays.

In this case, the legal heir must first complete the transmission process — getting the shares transferred into their own name using a death certificate, succession certificate, or probate. Once transmission is done, the demat conversion can proceed normally. If the shares were also transferred to IEPF due to unclaimed dividends, a separate IEPF-5 claim is filed. We handle all stages together.

The DP typically charges a small per-certificate dematerialisation fee. Our professional service fee is a small token amount upfront to begin, and a 10% success fee charged only on the value successfully converted or recovered — so if we don’t succeed, you don’t pay the full fee.
